NOTICE OF PUBLIC HEARING ON THE ISSUANCE OF REVENUE REFUNDING BONDS TO REFINANCE A NURSING HOME FACILITY (BOUTWELLS LANDING CARE CENTER PROJECT)

NOTICE IS HEREBY GIVEN that the City Council (the “Council”) of the City of Oak Park Heights, Minnesota (the “City”), will hold a public hearing on Tuesday, June 25, 2013, on or after 7:00 p.m. at City Hall, 14168 Oak Park Boulevard in the City, to consider the issuance of health care revenue refunding bonds (the “Bonds”), under Minnesota Statutes, Sections 469.152-469.1655, as amended (the “Act”). The Bonds are proposed to be issued to (i) refund the City’s Tax Exempt Loan Participation Note (Boutwells Landing Care Center Project), Series 2007A, issued in the original aggregate principal amount of $10,000,000 and its Tax Exempt Loan Participation Note (Boutwells Landing Care Center Project), Series 2007B, issued in the original aggregate principal amount of $10,000,000 (collectively, the “Prior Notes”) the proceeds of which financed the site improvements and the construction and equipping of an approximately 108-bed skilled nursing facility located at 5600 Norwich Parkway in the City (the “Project”); (ii) fund a debt service reserve fund; and (iii) and pay a portion of the costs of issuance related to the Bonds. The Project is currently owned and operated by VSSA Care Center, LLC, a Minnesota limited liability company, the sole member of which is Valley Senior Services Alliance, a Minnesota nonprofit corporation and 501(c)(3) organization.

Following the public hearing, the Council will consider adoption of a resolution approving the issuance of the Bonds to refund the Prior Notes and refinance the Project. The aggregate face amount of the Bonds proposed to be issued to refinance the Project is presently estimated not to exceed $21,000,000. The Bonds will be issued by the City and will be limited obligations of the City payable solely from the revenues pledged to the payment thereof. The Bonds will not be general or moral obligations of the City and will not be secured by or payable from any assets, revenues, or other property of the City and will not be secured by or payable from any revenues derived from any application of the taxing powers of the City. Before issuing the Bonds, the City will enter into an agreement with the Borrower, whereby the Borrower will be obligated to make payments at least sufficient at all times to pay the principal of and interest on the Bonds when due (which will be assigned and pledged to the payment of the Bonds).

Anyone desiring to be heard during this public hearing will be afforded an opportunity to do so. In addition, interested persons may file written comments respecting the proposal with the City Administrator at or prior to the public hearing.

OAKGREEN COMMONS, LLC OF A MULTIFAMILY RENTAL
HOUSING DEVELOPMENT TO BE LOCATED IN THE CITY
(OAKGREEN COMMONS PROJECT)

NOTICE IS HEREBY GIVEN that the City Council (the “Council”) of the City of Oak Park Heights, Minnesota (the “City”), will hold a public hearing on Tuesday, June 25, 2013, on or after 7:00 p.m. at City Hall, 14168 Oak Park Boulevard in the City, to consider a proposal that the City authorize the issuance of revenue bonds (the “Bonds”), by the City, in one or more series, under Minnesota Statutes, Chapter 462C, as amended (the “Act”) and pursuant to an amended and restated housing program (the “Housing Program”). The Bonds are proposed to be issued to (i) finance the acquisition, construction and equipping of an approximately 34,675 square foot, two-story apartment building consisting of 30 memory care units, including a common entrance, a dining room and community room, to be attached to the existing multifamily senior apartment facility owned by Oakgreen Commons, LLC (the “Borrower”) which is located at 13936 Lower 59th Street North in the City (the “Project”); (ii)  the funding of one or more reserve funds to secure the timely payment of the Bonds; (iii) the payment of interest on the Bonds during the construction of the Project; and (iv) the payment of a portion of the costs of issuing the Bonds. The Borrower will own and operate the Project. The estimated aggregate principal amount of the Bonds will not exceed $6,000,000.

Following the public hearing, the Council will consider a resolution approving the Housing Program prepared in accordance with the requirements of the Act, and granting approval to the issuance of the Bonds. A draft copy of the Housing Program is available for public inspection during normal business hours, Monday through Friday, at the City Hall in the City.

The Bonds will be special, limited obligations of the City and the Bonds and interest thereon will be payable solely from the revenues and assets pledged to the payment thereof. No holder of any Bond will ever have the right to compel any exercise of the taxing power of the City to pay the Bonds or the interest thereon, nor to enforce payment against any assets, revenues, or other property of the City. Before issuing the Bonds, the City will enter into an agreement with the Borrower, whereby the Borrower will be obligated to make payments at least sufficient at all times to pay the principal of and interest on the Bonds when due (which will be assigned and pledged to the payment of the Bonds).

The City Council of the City of Stillwater does ordain:

1) AMENDING. Section 31-325, of the City Code entitled “Allowable uses in non-residential districts” is amended by changing the row entitled “Outside sales or special events” to hereafter read as follows:

Storm Water Pollution Plan

A public meeting is scheduled for June 11, 2013 at 9:30 a.m in the Council Chambers at Stillwater City Hall, 216 North Fourth Street. The purpose of this meeting is to review the City of Stillwater’s Storm Water Pollution Prevention Plan, SWPPP.

The Storm Water Pollution Prevention Plan is a document required by the State and Federal government that outlines how the City will work towards reducing pollution in the rainwater run-off. This Plan will be reviewed at the meeting. The purpose this meeting is to receive public comments on the Storm Water Pollution Prevention Plan for the City of Stillwater.
